Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and related services operated under the name BreakStacks (“BreakStacks,” “we,” “us,” or “our”). By creating an account, accessing visitor pages, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service (what BreakStacks is — and is not)
BreakStacks provides club management and record-keeping tools for private, social, home-game style groups (for example, tracking games, internal club points or ratings, and optional in-app “coin” or balance fields used only within your club’s configuration). The Service is not a gambling or betting platform, not an online casino, and does not operate games of chance for stakes with the house. We do not take wagers, hold player funds for the purpose of gambling with us, or pay out gambling winnings.
Virtual units. Any points, “coins,” balances, or similar values shown in the Service are virtual bookkeeping aids unless you explicitly understand otherwise in writing from us. They are not legal tender, not deposits with a bank, and not redeemable from BreakStacks for cash or real-money prizes. How your club uses those fields offline (for example, settling up in person) is solely between members of that club and under their own compliance with applicable law.
Your responsibility. You are responsible for ensuring that your use of the Service, and any rules your club adopts, comply with the laws that apply to you—including laws relating to games, contests, prizes, fundraising, taxation, and consumer protection.
2. Eligibility and accounts
You must be able to form a binding contract in your jurisdiction to use the Service on your own behalf. You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account. Notify us promptly at the contact method on the Support page if you suspect unauthorized access.
3. Club operators, members, and visitors
Clubs may be configured by operators (“club admins”). Operators are responsible for inviting members, setting club policies, and any data they enter. Visitor password-gated pages may expose limited read-only information chosen by the club; do not share passwords beyond your club’s intent. BreakStacks is not a party to disputes between club members except as needed to enforce these Terms or law.
4. Acceptable use
You agree not to:
- Use the Service for illegal gambling, fraud, harassment, hate, exploitation, or malware.
- Attempt to gain unauthorized access to the Service, other users’ data, or our systems.
- Scrape, overload, or reverse engineer the Service except where applicable law forbids this restriction.
- Misrepresent affiliation with BreakStacks or another club.
- Use the Service to process real-money payments through BreakStacks as a payment facilitator for unlawful activity.
We may investigate and suspend or terminate access for violations or risk to others.
5. Subscriptions, fees, and third parties
Some features may be offered on a paid or limited basis. Fees, renewals, and taxes are as shown at checkout or in your account. Payments may be processed by third-party providers (for example, Stripe). Their terms and privacy notices also apply. BreakStacks is not responsible for third-party outages or errors beyond our reasonable control.
6. Intellectual property
The Service, including software, branding, and documentation, is owned by BreakStacks or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. You retain rights in content you submit; you grant us a license to host, process, and display that content to operate the Service.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BREAKSTACKS OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (OR EQUIVALENT), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
9. Indemnity
You will defend, indemnify, and hold harmless BreakStacks and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your club’s activities, or your violation of these Terms or applicable law.
10. Suspension and termination
We may suspend or terminate access for breach of these Terms, risk, or legal requirements. You may stop using the Service at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.
11. Changes; governing law; disputes
We may modify these Terms by posting an updated version and updating the “Last updated” date. Material changes may require additional notice where required by law. Continued use after changes become effective constitutes acceptance.
These Terms are governed by the laws applicable in the jurisdiction where BreakStacks primarily operates, without regard to conflict-of-law principles, except where mandatory consumer rules in your country say otherwise. You agree that courts in that jurisdiction have personal jurisdiction for disputes we cannot resolve informally—unless applicable law requires a different forum.
